Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Spice Finance Inc, a Delaware corporation doing business as Pareto Inference ("Pareto Inference," "we," "us," or "our"). They govern your access to and use of paretoinference.com, the dashboard and documentation, our application programming interface (the "API"), Pareto Pass, referral features, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, using an API key, or otherwise accessing the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to bind it, and "you" includes that organization. If you do not agree, do not use the Service.

You must be legally able to enter into this agreement. If you are under the age of legal majority where you live, you may use the Service only with permission from and under the supervision of a parent or legal guardian. That parent or guardian must review and agree to these Terms and is responsible for your use. You may not use the Service if you are under 13, if applicable law requires a higher minimum age, or if law otherwise bars you from using it, including under export-control or sanctions laws.

You must provide accurate information and keep it current. You are responsible for activity under your account and API keys, including charges and use by anyone you authorize or enable.

Keep credentials and API keys confidential. Do not publish, transfer, sell, sublicense, or share an API key outside your organization or authorized service providers. Notify us promptly if you suspect unauthorized access. Key rotation invalidates the previous key; you are responsible for updating clients that use it.

We may set or change account, key, model, rate, concurrency, token, budget, or other technical limits to protect the Service, comply with provider requirements, or manage capacity.

Pareto Inference provides hosted access to third-party artificial-intelligence models and related performance information. Requests may be routed through model-routing and downstream model providers. Available models, providers, endpoints, performance, capacity, and features may change.

Unless we agree otherwise in writing:

• The Service has no service-level agreement or guaranteed availability, latency, throughput, model, capacity, or output quality.
• Public performance metrics are service-level observations, not a promise about your requests or a billing statement.
• Upstream limits, outages, content rules, or provider changes may affect use.
• Preview, beta, experimental, subsidized, or early-access features may be changed or discontinued at any time.

You may submit prompts, messages, files, or other material ("Input") and receive model-generated material ("Output"). Input and Output together are "Content."

As between you and us, you retain your rights in Input. Subject to applicable law and third-party rights, we assign to you any rights we may have in Output. You grant us a worldwide, non-exclusive, royalty-free license to host, copy, transmit, process, and otherwise use Content as reasonably necessary to provide, secure, monitor, troubleshoot, improve, and enforce the Service.

You represent that you have all rights and permissions needed to submit Input and permit this processing. Do not submit regulated, confidential, or sensitive information unless you have determined that the Service and provider terms meet your requirements or we have agreed to additional terms in writing.

AI systems can produce inaccurate, incomplete, offensive, biased, or otherwise unsuitable Output. Output may not be unique. You are responsible for evaluating Output and for decisions or actions based on it. Do not rely on Output as a substitute for professional advice or as the sole basis for decisions that materially affect a person's rights, safety, health, employment, credit, housing, education, insurance, or access to essential services.

You may not use the Service to:

• Violate law, court order, sanctions, export controls, or the rights of others.
• Generate, distribute, or facilitate malware, credential theft, unauthorized surveillance, fraud, deception, spam, phishing, or other harmful activity.
• Access systems or data without authorization, evade security controls, or test vulnerabilities without our prior written permission.
• Exploit or harm children or create or distribute unlawful sexual content.
• Infringe intellectual-property, privacy, publicity, confidentiality, or other rights.
• Circumvent budgets, rate limits, access periods, referral rules, or other controls.
• Resell, sublicense, pool, or share Pareto Pass or API keys unless we authorize it in writing.
• Interfere with the Service or impose an unreasonable load on it.
• Misrepresent Output as human-generated where law requires disclosure.
• Use the Service for fully autonomous weapons, unlawful high-risk decisions, or a use where failure could reasonably cause death, serious injury, or major property or environmental damage.

You must also follow applicable model-provider, marketplace, and integration policies. We may investigate suspected violations and suspend or terminate access.

Pareto Pass is a recurring subscription. The current standard self-service price is US$3 per week, charged weekly until canceled. There is no free trial or monthly bundle in this offer. The price and plan shown at checkout control if they differ from this summary.

By starting Pareto Pass, you authorize us and Stripe to charge your selected payment method on a recurring basis, including applicable taxes, until you cancel. Stripe processes card information and provides the billing portal.

The current self-service plan includes up to US$20 of model usage per user per day, measured by our systems and upstream pricing. This is a usage limit, not cash or stored value; does not guarantee any amount of usage, model, or capacity; may be subject to upstream availability and technical limits; and uses the Service's configured budget period, which may not reset at local midnight.

Your subscription renews automatically each week unless canceled. You can cancel through the Stripe billing portal linked in the dashboard. Cancellation stops future renewal charges and ordinarily leaves access active until the end of the paid period. A failed renewal may cause access to expire or be suspended.

Except where law or checkout terms require otherwise, all payments are final and non-refundable, and credits are not redeemable for cash. We may provide a refund or service credit in our sole discretion, but doing so once does not require us to do so again.

We may change prices, allowances, or limits for future billing periods. We will provide notice required by law. You may cancel before a change applies. Prices exclude taxes unless stated otherwise, and you are responsible for applicable taxes.

Referral offers are promotional and may be changed, paused, or ended prospectively. Current program terms are:

• An eligible new user who signs up through a valid referral may pay US$1 for the first week, then US$3 per week.
• The direct referrer may receive one US$3 Pareto Pass credit. It becomes pending after the referred user's eligible first payment and unlocks only after the referred user makes the first successful full US$3 cash renewal, ordinarily around seven days later. A countdown is only an estimate.
• Cancellation or failed renewal before qualification may invalidate the reward. An eligible successful retry may restore a reward invalidated solely by payment failure.
• Refunds, disputes, fraud, abuse, or ineligibility may reverse a reward. If reversed credit was used, future earned credit may first cover the adjustment; we will not add a separate card charge solely to recover it.
• Earned credit applies automatically to future Pareto Pass bills, does not expire under the current program, is not transferable or redeemable for cash, and is not an API-token balance. A credit-covered bill is not a cash renewal for another reward.
• Attribution is generally set when a user visits a referral link and signs in or signs up within the referral-cookie period. Self-referrals, duplicates, retrospective changes, and existing or previously paid customers are not eligible.

Stripe's checkout price is final for that transaction. We may withhold, invalidate, or reverse benefits where we reasonably believe there is error, fraud, manipulation, a duplicate account, a prohibited transfer, or a violation of these Terms.

The Service relies on identity providers, Stripe, hosting and infrastructure providers, model routers, and model providers. Their products are governed by their own terms and policies. We are not responsible for third-party services, content, or availability.

If you access the Service through a marketplace or integration, additional terms may apply. For that transaction, marketplace terms control only to the extent of a conflict.

The Service, including its software, interfaces, documentation, branding, and design, is owned by Spice Finance and its licensors and is protected by intellectual-property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal lawful purposes.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the Service, or use our names, logos, or marks without written permission. This does not restrict rights that law does not allow us to restrict.

If you send feedback, you grant us a worldwide, perpetual, irrevocable, royalty-free license to use it without restriction or compensation.

Our Privacy Policy explains how we collect, use, and disclose personal information. If you process information on behalf of someone else, you are responsible for required notices and permissions.

Contact us before submitting regulated data that requires a data processing, security, business associate, or similar agreement. Unless we sign a separate agreement, the Service is not offered as compliant with HIPAA, GLBA, FERPA, PCI DSS for card-data storage, or another sector-specific regime.

You may stop using the Service at any time and may cancel a paid subscription as described above.

We may suspend or terminate access, limit functionality, revoke keys, or remove Content if we reasonably believe you violated these Terms or law; your use creates security, legal, financial, reputational, or operational risk; payment is overdue, reversed, disputed, or fraudulent; a provider or authority requests suspension; or continued service is no longer commercially or technically feasible.

Where reasonable, we will provide notice and an opportunity to cure. We may act immediately to prevent harm, address an emergency, or comply with law. Provisions that by their nature should survive termination will survive.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE." SPICE FINANCE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

WE DO NOT WARRANT THAT OUTPUT IS ACCURATE, COMPLETE, UNIQUE, SAFE, SUITABLE FOR YOUR PURPOSE, OR NON-INFRINGING. YOU USE THE SERVICE AND OUTPUT AT YOUR OWN RISK. Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPICE FINANCE AND ITS AFFILIATES, SUPPLIERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS; BUSINESS INTERRUPTION; OR THE COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR (B) US$100. These limits apply regardless of legal theory and do not apply to liability that cannot be limited by law.

If you use the Service for a business or organization, you will defend, indemnify, and hold harmless Spice Finance and its affiliates, personnel, suppliers, and licensors from third-party claims, damages, losses, liabilities, costs, and expenses, including reasonable legal fees, arising from your Content, use of the Service, violation of these Terms, or violation of another person's rights. This does not apply to the extent a claim results from our breach, gross negligence, or willful misconduct.

We may modify the Service and these Terms. If we materially change the Terms, we will provide notice as required by law and state when the changes take effect. Changes apply prospectively. If you do not agree, stop using the Service and cancel any subscription before the revised Terms take effect.

These Terms are governed by Delaware law, without regard to conflict-of-laws rules. Any dispute arising from or relating to these Terms or the Service will be brought exclusively in the state courts located in New Castle County, Delaware, or the United States District Court for the District of Delaware. Each party consents to their jurisdiction and venue.

Before filing a claim, you and Spice Finance agree to try in good faith for 30 days to resolve it informally. Send written notice describing the dispute and requested relief to the contact below. Nothing in this section limits rights or remedies that cannot be waived under consumer law. These Terms do not require arbitration and do not contain a class-action waiver.

These Terms and additional terms expressly incorporated by reference are the entire agreement about the Service and supersede prior agreements on that subject. If a provision is unenforceable, it will be modified only as much as needed, and the rest will remain in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, merger, acquisition, financing, or sale of assets. There are no third-party beneficiaries except as expressly stated.
